BrainChip and Parsons Sign Strategic Agreement to Accelerate Edge AI Defense Systems

October 23, 2025

BrainChip announced a strategic partnership with Blue Ridge Envisioneering (BRE), a Parsons company (NYSE: PSN), a Virginia-based innovator delivering next-generation solutions to the defense and intelligence sectors. The agreement supports the deployment of AI systems that maintain performance without reliance on cloud connectivity. Parsons will integrate BrainChip’s Akida™ neuromorphic processors into its mission-ready edge-AI platforms, enhancing adaptive performance in constrained and dynamic defense environments. Neuromorphic processors aim to mimic biological neural networks to perform efficient, low-power AI computations. The engagement will leverage Akida’s industry-leading low-power, real-time inference and on-device learning capabilities.

BrainChip’s Level I ADRs are traded in the US on the OTCQX over-the-counter market under the ticker BCHPY

Depositary receipts (DRs) are negotiable U.S. securities issued by a U.S. bank, referred to as a “depositary bank,” that typically represent a non-U.S. company’s equity. DRs trade freely in global markets and facilitate cross-border trading.

DRs allow non-U.S. companies to make their shares available outside their home markets and allow investors in the U.S. and elsewhere to easily invest in companies on a more global basis.

Investors in the United States can benefit from holding ADRs rather than ordinary shares in the issuer’s home market, because ADRs trade, clear and settle according to United States market conventions.ADRs allow US investors to diversify into non-US securities and hold these in their US brokerage accounts. ADRs also allow easy comparison to securities of similar companies as well as access to price and trading information, U.S. dollar dividend payments and corporate action notifications.

An ADR ratio provides the number of underlying shares represented by one ADS. 1 BrainChip ADR represents 40 ordinary BRN shares on the Australian Securities Exchange (ASX). The two securities trade very close to parity once the ADR ratio and foreign exchange aspects are accounted for.

An ADR isa negotiable certificate issued by a depositary bank to represent a specific number of shares of a foreign company traded on a U.S. exchange. An ADS (American Depositary Share) is the share issued under the ADR agreement which is actually traded.

BrainChip ADRs can be purchased through a typical broker, just as you would to buy U.S. securities. You cannot buy ADRs directly from BrainChip.

Converting ordinary shares into ADRs can be done through an investment advisor or broker.To convert your ordinary shares into ADRs:

  1. ‍You need to transfer your ordinary BRN shares to BNY Mellon’s local custodian, HSBC Bank Australia Limited (BIC: HKBAAU2SSYD, CHESS PID: 20057, safekeeping account: 011-552130-068). This process is usually completed by your broker via a broker transfer form.
  2. Once BNY Mellon receives confirmation that your underlying ordinary shares have been deposited with HSBC, new ADRs are issued and delivered to your nominated US broker, in accordance with the ADR programs “Deposit Agreement”. ADR issuers generally have full information in English about themselves on their websites. ADRs listed on U.S. exchanges provide holders with the same level of information as any other U.S. security with trading information readily available.   • BrainChip takes the continuous disclosure obligations under Chapter 3 of the ASX Listing Rules very seriously.
  • Listing rule 3.1 requires an entity to disclose market sensitive information immediately upon the entity becoming aware of the information.
  • Non-price sensitive announcements are typically administrative in nature. Examples include many of the appendices to the Listing Rules such as Change of Directors Interest Notices, updates to share buy-back, and certain other capital-related updates.
  • Whilst a company can make non-price sensitive announcements about its activities, care needs to be taken. The ASX listing rules do not allow companies to simply designate an announcement as non-price sensitive and use the ASX platform for marketing purposes. The use of the ASX platform in this manner may be considered “ramping” should the price of the securities rise which is forbidden by ASX. This is monitored closely, and announcements must be given to ASX before being released on the announcement platform.
  • Whenever ASX detects what it suspects to be a ramping announcement, it will give careful consideration to suspending the entity’s securities from trading.
